1. Introduction

Welcome to MIRAI Techlab. These Terms of Service ("Terms") govern your access to and use of our website, AI solutions, workflow automation tools, and custom software development services (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Our Services

MIRAI Techlab specializes in building practical AI, automation, data analytics, and custom software solutions. When you engage us for a project:

• Scope of Work: The specific deliverables, timelines, constraints, and costs will be outlined in a separate Statement of Work (SOW) or formal agreement.
• Third-Party Integrations: Our solutions often rely on third-party APIs (e.g., OpenAI, Microsoft, Google, custom CRMs). We are not responsible for downtime, API changes, or policy changes implemented by these third parties.
• AI Limitations: AI-powered features may occasionally produce inaccurate or unexpected results. It is your responsibility to verify critical outputs before acting upon them.

3. Intellectual Property

We believe in a fair transfer of ownership for custom work, balanced with our right to reuse our proprietary foundational tools.

• Custom Deliverables: Upon receipt of full payment, all custom code, workflows, and specific solutions developed exclusively for your business will become your intellectual property.
• Pre-existing Materials: MIRAI Techlab retains all rights to pre-existing frameworks, code libraries, automation templates, and methodologies used to build your solution. You are granted a perpetual, non-exclusive license to use these materials as part of the delivered solution.
• Client Data: You retain all rights to the data you provide to us. We claim no ownership over your proprietary business information.

4. Payment Terms

To ensure smooth project delivery, our standard payment terms are as follows:

• Invoicing: Payments are typically structured in milestones (e.g., 50% upfront, 50% upon completion) unless otherwise specified in your SOW.
• Late Payments: Invoices are due within 15 days of receipt. We reserve the right to suspend services or withhold final deliverables if payment is significantly delayed.
• Subscription Services: For ongoing support, hosting, or maintenance retainers, payments are billed monthly or annually in advance.

5. Limitation of Liability

While we engineer our solutions to be robust and secure, we cannot guarantee uninterrupted functionality, especially when relying on external cloud providers and APIs. Our total liability for any claim arising out of these Terms or our Services shall not exceed the total amount paid by you to MIRAI Techlab for the specific project in question over the past 12 months.
